Welcome to Vagris Atelier. These Terms & Conditions govern your use of our website and the design services provided by Vagris Atelier.
By accessing our website, contacting us regarding a project, requesting a quotation, or purchasing our services, you agree to these Terms & Conditions.
Our Services
Vagris Atelier provides professional design services primarily for restaurants, cafés, bars, hospitality businesses, and related commercial clients.
Services may include:
Menu design
Drink and cocktail menu design
Wine list design
Menu redesign
Visual layout and typography
Brand-related menu design
Digital menu design
Print-ready design files
Other customized design services agreed upon with the client
The exact scope of each project will be determined through the applicable quotation, proposal, invoice, written agreement, or project communication.
Quotations and Project Agreements
Prices displayed or discussed before a formal quotation are estimates unless expressly stated otherwise.
A quotation or proposal may specify the project scope, price, number of revisions, deliverables, estimated schedule, and other project-specific conditions.
A project is considered accepted when the client accepts the quotation or proposal, makes a required payment, or otherwise confirms the project in writing.
Any work requested outside the agreed project scope may result in additional charges.
Client Responsibilities
The client is responsible for providing accurate and complete information necessary to complete the project.
This may include:
Menu text and prices
Product or dish descriptions
Logos and brand assets
Photographs and illustrations
Contact information
Translations
Printing specifications
Other materials required for the project
The client is responsible for reviewing all text, prices, spelling, translations, allergen information, legal notices, and other factual information before final approval.
Vagris Atelier is not responsible for errors contained in information supplied or approved by the client.
Intellectual Property Provided by the Client
The client represents that they have the necessary rights or permissions to use any logos, photographs, illustrations, trademarks, text, fonts, or other materials supplied to Vagris Atelier.
The client is responsible for any claims arising from materials they provide without the necessary authorization.
Revisions
The number of revisions included in a project may be specified in the applicable quotation or proposal.
Requests that substantially change the original concept, scope, content, or direction of the project may be treated as additional work and may require an additional fee.
Approval of Designs
The client is responsible for carefully reviewing the final design before approval.
Final approval confirms that the client has reviewed and accepted the design, including its content, spelling, prices, layout, and other information.
Changes requested after final approval may be subject to additional charges.
Payment
Payment terms will be stated in the applicable quotation, proposal, or invoice.
Depending on the project, Vagris Atelier may require full payment or a deposit before work begins.
Any remaining balance must be paid according to the agreed payment schedule and before delivery of final production-ready files unless otherwise agreed in writing.
The client is responsible for any applicable taxes, duties, or other charges required by law.
Cancellations and Refunds
Because our services involve customized creative work, payments for work already performed are generally non-refundable.
If a client cancels a project after work has begun, the client remains responsible for payment for work completed up to the date of cancellation and for any non-refundable expenses incurred for the project.
Any project-specific cancellation or refund terms stated in a quotation or written agreement will take precedence.
Delivery
Final designs may be delivered electronically in the file formats agreed upon for the project.
Delivery dates and project schedules are estimates unless a specific deadline has been expressly agreed to in writing.
Delays caused by late client feedback, missing information, requested changes, third-party services, technical problems, or circumstances outside our reasonable control may extend the project schedule.
Printing and Third-Party Production
Unless specifically agreed otherwise, Vagris Atelier provides design services and is not responsible for printing or manufacturing.
Colors displayed on screens may differ from printed colors.
The client is responsible for verifying printing specifications and approving proofs provided by a printer or other production company.
Vagris Atelier is not responsible for printing errors, production defects, shipping delays, or other issues caused by third-party suppliers.
Intellectual Property and Design Rights
Unless otherwise agreed in writing, Vagris Atelier retains ownership of working files, drafts, concepts, unused designs, design methods, and other materials created during the design process.
Upon receipt of full payment, the client receives the rights to use the approved final design for the business purposes agreed upon for the project.
Transfer of editable source files, exclusive intellectual property rights, or other ownership rights must be expressly agreed upon in writing.
Third-party materials remain subject to their respective licenses and terms.
Portfolio Use
Unless otherwise agreed in writing, Vagris Atelier may display completed design work in its portfolio, website, social media, presentations, or other promotional materials after the work has been publicly released by the client.
Confidential or unpublished information will not knowingly be disclosed.
Confidentiality
We will use reasonable care to protect confidential business information provided to us in connection with a project.
This obligation does not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.
No Guarantee of Business Results
Design services are intended to improve presentation, communication, and customer experience.
However, Vagris Atelier does not guarantee any specific increase in sales, revenue, customer traffic, reservations, customer engagement, or other business results.
Limitation of Liability
To the fullest extent permitted by applicable law, Vagris Atelier and SengNet LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.
Our total liability arising from a particular project will not exceed the amount actually paid to us by the client for that project, except where such limitation is prohibited by applicable law.
Website Use
You may use our website for lawful purposes only.
You may not attempt to interfere with the website’s security or operation, gain unauthorized access to our systems, use the website for fraudulent or unlawful purposes, or copy or exploit website content in violation of applicable intellectual property laws.
Third-Party Services and Links
Our website or services may contain links to or rely on third-party websites, software, platforms, printers, hosting providers, payment providers, or other services.
We are not responsible for the availability, content, privacy practices, policies, or performance of independent third parties.

Governing Law
These Terms & Conditions and any dispute arising from them will be governed by the laws applicable to SengNet LLC in the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory laws applicable to a client provide otherwise.

We may update these Terms & Conditions from time to time to reflect changes to our services, business practices, or legal requirements.
